Welcome to AirStudio! These Terms of Service (“Terms”) are a legal agreement between you (“you” or “User”) and AirStudio, Inc. (“AirStudio,” “we,” “us,” or “our”), governing your access to and use of our Services.

By using our Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Use of the Services

AirStudio provides software, applications, and online tools for live streaming, recording, and content creation. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to use the Services for your personal or business use.

You must be at least 13 years old (or 16 where required by law) to use the Services.

2. User Accounts

You are responsible for maintaining the confidentiality of your account login and for all activities under your account. You agree to provide accurate and complete information and to keep it up to date.

We may suspend or terminate your account if we believe it violates these Terms or applicable laws.

3. User Content and Ownership

You retain all rights to any content you create, upload, stream, or record using the Services (“User Content”). We do not claim any ownership rights to User Content.

By using the Services, you grant AirStudio a limited, non-exclusive, royalty-free, worldwide license to host, store, transmit, display, and process your User Content solely as needed to operate, improve, and provide the Services (e.g., for cloud storage, playback, or editing). We will never use your User Content for any marketing, advertising, or unrelated business purposes without your explicit permission.

You are solely responsible for your User Content and represent that you have all necessary rights to use and distribute it. We do not monitor User Content but may remove or disable access to any content we reasonably believe violates these Terms or applicable laws.

AirStudio is committed to creating a safe and respectful environment for creators and audiences. By using our Services, you agree to:

We reserve the right to remove content or suspend accounts that violate these guidelines or contribute to a hostile or unsafe environment.

You are solely responsible for any guests you invite to use AirStudio. You represent and warrant that your guests will comply with the law and with these Terms, will not infringe on the rights of others, and that you have all necessary rights, licenses, and permissions related to any content they contribute.

6. Payment, Subscriptions, Free Trials, and Refunds

If you subscribe to a paid plan, you agree to pay all applicable fees. Payments are processed by a third-party provider (e.g., Stripe) and are subject to their terms.

Auto-Renewal: Unless you cancel your subscription before the end of the current billing period, your plan will automatically renew at the end of each period (monthly or annually, depending on your plan). The applicable subscription fee will be charged to your saved payment method on file.

Free Trials: We may offer free trials for certain paid features. The duration and terms of any free trial will be specified at the time of sign-up. Unless otherwise noted, free trials automatically convert to paid subscriptions at the end of the trial period. You will be charged unless you cancel before the trial ends. You can cancel your trial or subscription at any time in your account settings.

Refunds: If this is your first time being charged for a paid plan, we offer a full refund within 7 days of the charge—no questions asked. After the 7-day window, or for any future payments, refunds are not guaranteed and are provided at our sole discretion.

You can manage or cancel your subscription at any time through your account settings. If you cancel, you will continue to have access to the Services until the end of your current billing period.

7. Data and Security

AirStudio is not intended for sensitive personal data. Please don’t upload or record information like health details, financial account numbers, government-issued IDs, or data about individuals under 16 without proper consent. We’re not responsible for how that data is handled if it’s submitted through the platform.

We take the security of your content seriously and use industry-standard technical and organizational measures to protect it. This includes things like encryption, secure access controls, and regular security checks. While no system is perfectly secure, we do our best to keep your data safe.

8. Intellectual Property

All rights, title, and interest in the Services (excluding User Content) are owned by AirStudio and its licensors. This includes software, branding, logos, and design elements. You may not copy, modify, distribute, or create derivative works based on our Services without written permission.

9. Beta Features

From time to time, we may make certain beta or experimental features available. These features may be incomplete, unstable, or changed without notice. You use beta features at your own risk, and we disclaim all warranties associated with them.

10. YouTube Terms

By using the Services with YouTube, You agree that You are bound by YouTube’s Terms of Service, available at https://www.youtube.com/t/terms. Your access to and use of YouTube through the Services is conditioned on your compliance with YouTube's Terms of Service, in addition to this Agreement.

11. Disclaimer of Warranties

The Services are provided “as is” and “as available.” We make no warranties, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee uninterrupted or error-free service.

12. Limitation of Liability

To the fullest extent permitted by law, AirStudio will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from your use of the Services.

Our total liability for any claim is limited to the amount you paid us (if any) in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless AirStudio, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

We reserve the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.

14. Force Majeure

We are not responsible for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, internet outages, third-party service interruptions, or government restrictions.

15. Export Compliance

You agree not to use the Services in violation of U.S. export control laws or applicable international laws.

16. Time Limit to Bring Claims

To the extent permitted by law, any claim or dispute related to these Terms or your use of the Services must be filed within one year after the claim arises. If not, it is permanently barred.

17. Dispute Resolution and Arbitration

Binding Arbitration: You agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Services through final and binding arbitration, rather than in court, except for certain small claims.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action or class arbitration.

Governing Law: These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Arbitration will be administered in accordance with the rules of the American Arbitration Association (AAA).

18. Termination

You may stop using the Services at any time. We may suspend or terminate your access if we believe you have violated these Terms or if required by law. Upon termination, your right to use the Services will end.

19. Entire Agreement and Severability

These Terms, along with our Privacy Policy, represent the entire agreement between you and AirStudio. If any part is found unenforceable, the rest of the Terms will remain in effect.

20. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you via email or within the Services. Continued use after changes take effect constitutes acceptance.
